This Non-Disclosure Agreement ("Agreement") is entered into as of the date below by and between Executive Commercial (the "Disclosing Party") and the undersigned (the "Receiving Party").

1. Confidential Information: The Disclosing Party may disclose confidential and proprietary information ("Confidential Information") related to commercial real estate transactions, including financial data, property details, and business operations.

2. Purpose: The Receiving Party agrees to use the Confidential Information solely for evaluating potential transactions with the Disclosing Party.

3. Obligations: The Receiving Party agrees to: (a) Keep the Confidential Information confidential and not disclose it to third parties without prior written consent. (b) Use reasonable care to protect the Confidential Information. (c) Limit access to the Confidential Information to those involved in the evaluation process who are bound by similar confidentiality obligations. (d) Notify the Disclosing Party of any unauthorized use or disclosure.

4. Exclusions: Confidential Information does not include information that is publicly available, known prior to disclosure, independently developed, or required to be disclosed by law.

5. Return of Information: Upon request, the Receiving Party shall return or destroy all Confidential Information.

6. Term: This Agreement remains in effect for two (2) years from the date of disclosure.

7. Remedies: The Disclosing Party may seek injunctive relief for any breach of this Agreement.

8. Governing Law: This Agreement is governed by the laws of the state where the Disclosing Party's principal business is located.

9. Entire Agreement: This Agreement is the entire understanding between the parties regarding its subject matter.
